1. Introduction

These Terms & Conditions (the “Terms”) govern your access to and use of the platforms, products and services provided by M&F Technology Development (“M&F Technology Development”, “we”, “us” or “our”). Our company designs, operates and administers platforms that enable the creation and operation of engineering software solutions.

2. Acceptance of the Terms

3. Our Services

We provide and administer platforms that support the development, configuration, integration and operation of engineering software and related workflows. Our services may include low-code and no-code tools, data processing capabilities, analytics, integrations with third-party systems and other functionality to support engineering and business processes.

4. Accounts and User Responsibilities

Where an account is required, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to:

  • Provide accurate, current and complete information when creating an account.
  • Promptly update your information when it changes.
  • Notify us immediately of any unauthorized use of your account or credentials.
  • Comply with all applicable laws and regulations when using our platforms.

5. Acceptable Use

You must not use our platforms or services to:

  • Violate any applicable law, regulation or third-party rights.
  • Upload or transmit malicious code, malware or security threats.
  • Reverse engineer, decompile or otherwise attempt to derive source code, except where permitted by law.
  • Access or attempt to access data or systems without authorization.
  • Use the services to build competing products in violation of contractual obligations.

6. Data We Process

In operating our platforms and services, we may process different categories of data, including:

  • Personal data, such as names, contact details, identifiers and professional information.
  • Financial data related to billing, subscriptions and transactions on or through our platforms.
  • Usage and analytics data describing how users interact with our platforms, including technical logs, device information and performance metrics.

We process this data for purposes including providing and securing the services, improving and developing our platforms, supporting customers, meeting legal and compliance obligations, and generating aggregated insights that do not identify individuals.

7. Data Sharing and No Sale of Data

We may share data with trusted third parties that help us operate our business and deliver our services, such as hosting providers, analytics providers, payment processors, professional advisors and affiliated entities. These parties are required to protect the data and use it only on our instructions and for the purposes described in these Terms or in other applicable agreements.

We do not sell your personal data, financial data or usage analytics data to third parties for their own marketing or independent commercial purposes.

8. Security

We implement technical and organizational measures designed to protect the data we process against unauthorized access, disclosure, alteration and destruction. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

9. Intellectual Property

All rights, title and interest in and to our platforms, services, software, documentation, designs, logos and other materials are and will remain the exclusive property of M&F Technology Development or its licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use our platforms and services for your internal business purposes.

10. Customer Content

You retain all rights to the content and data that you or your organization provide, upload or configure within our platforms (“Customer Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display and otherwise use Customer Content as necessary to provide and improve the services and to fulfill our obligations under these Terms and applicable agreements.

11. Third-Party Services

Our platforms may enable integrations with third-party services. Your use of third-party services is subject to the terms and privacy policies of those third parties. We are not responsible for third-party services or for any data processing carried out by those third parties outside of our control.

12. Disclaimers

To the maximum extent permitted by law, our platforms and services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including any warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the services will be uninterrupted, error-free, secure or free from harmful components, or that any data will be accurate or preserved without loss.

13. Limitation of Liability

To the maximum extent permitted by law, in no event will M&F Technology Development be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, or for any loss of profits, revenues, data or goodwill, arising out of or in connection with your use of our platforms or services, even if we have been advised of the possibility of such damages.

To the extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of the services will be limited to the amounts paid by you (or by the customer on whose behalf you use the services) to us for the services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Changes to the Services and to These Terms

We may modify or update the services and these Terms from time to time. When we make material changes to these Terms, we will provide notice in accordance with applicable law. Your continued use of the services after the effective date of the updated Terms constitutes your acceptance of the changes.

15. Governing Law

These Terms and any dispute arising out of or relating to them or to the services will be governed by the laws applicable in the jurisdiction where M&F Technology Development is established, without regard to its conflict of laws rules.
